Terms of Service

Konnecs Originate is a financing-origination and routing platform. It lets a business owner connect a point-of-sale account, see what the business may pre-qualify for based on its sales, complete a financing application, and have that application routed to one or more members of a network of independent lending partners for underwriting.

Konnecs Originate is not a lender, broker of record, or bank. We do not make credit decisions, lend money, or disburse funds. Any financing offer, approval, and funding is made and provided directly by an independent lending partner. Funds are paid by the lending partner directly to your business. Money never passes through Konnecs Originate.

You must be at least 18 years old and authorized to act on behalf of the business you represent. The Service is intended for business use only, not for personal, family, or household purposes. By using the Service you represent that the information you provide is true, accurate, and complete, and that you are authorized to share it.

Parts of the Service require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at hello@konnecs.com if you suspect unauthorized access to your account.

By using the Service you consent to receive communications from us electronically, including by email, text message (where you have opted in), and notifications inside the Service. These may include service updates, security notices, and messages about your application. You may opt out of non-essential communications at any time by following the instructions in the message or by contacting us; communications that are part of operating the Service (such as security notices) continue while you use it. Where a document requires your signature, the signing process itself presents the consent that applies to it.

When you connect your point-of-sale account, you authorize us to access your merchant profile and sales history on a read-only basis, solely to estimate your pre-qualification and to support your application. We do not move money, change settings, or take any other action in your point-of-sale account. You can disconnect at any time from within the Service, and you may also revoke access directly with your point-of-sale provider.

A pre-qualification estimate is based on the sales data available to us and is not an offer of financing, a commitment to lend, or a guarantee of approval. Each lending partner evaluates applications under its own criteria and may request additional information or documents. We may route your application to one or more lending partners; final terms, approval, and funding are determined solely by the lending partner.

Any financing offer you receive through the Service comes from an independent lending partner, not from Konnecs. The terms of any financing, including amounts, pricing, repayment, and any personal guarantee, are set out in the agreement between your business and the lending partner. Read that agreement carefully before signing; it, and not these Terms, governs your financing relationship.

Any fees that apply to you are disclosed in the applicable agreement before you sign it. We do not charge you a fee for submitting an application or receiving a pre-qualification estimate.

To process an application you may provide business and personal information and upload documents such as tax returns, bank statements, identification, and credit reports. You are responsible for the accuracy and completeness of what you submit, and you represent that you have the right to share it. Submitting false or misleading information may result in denial of your application and termination of your access. How we handle your information is described in our Privacy Policy.

Some agreements related to your application, including agreements with a lending partner, may be presented for review and executed electronically through the Service. Before you sign, the specific document and any consent that applies to it are presented to you. Executed documents are retained and made available to you, and evidence of the signing (such as the time of signature and the identity of the signer) is recorded to support the integrity of the document.

You agree not to:

• submit false, misleading, or fraudulent information;
• impersonate any person or entity, or misrepresent your authority to act on behalf of a business;
• attempt to gain unauthorized access to the Service, other users’ data, or our systems;
• probe, scan, or test the vulnerability of the Service except as expressly authorized by us;
• scrape, harvest, or collect data from the Service by automated means;
• interfere with the operation of the Service or impose an unreasonable load on our infrastructure; or
• use the Service to violate any applicable law or the rights of others.

The Service, including its software, design, text, graphics, and other content, is owned by Konnecs Technologies LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended business purpose. These Terms do not grant you any other right or license, whether by implication or otherwise.

The Service interoperates with third-party services, such as point-of-sale providers. Your use of a third-party service is governed by that provider’s own terms and privacy policy, and we are not responsible for third-party services. A link to or integration with a third-party service is not an endorsement of it.

Our Privacy Policy describes how we collect, use, protect, and share information through the Service. By using the Service you acknowledge the Privacy Policy.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that a pre-qualification estimate will result in an offer, or that any lending partner will approve or fund an application.

To the fullest extent permitted by law, Konnecs Technologies LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service.

We are not liable for the acts, omissions, offers, or decisions of any lending partner; your financing relationship is with the lending partner, not with Konnecs. To the fullest extent permitted by law, our total liability for claims relating to the Service will not exceed one hundred U.S. dollars (US $100) or the amount you paid us for use of the Service in the twelve months before the claim arose, whichever is greater.

You agree to indemnify and hold harmless Konnecs Technologies LLC and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

We may suspend or terminate your access to the Service at any time if these Terms are violated, if required by law, or to protect the Service, its users, or the lending partners on the network. You may stop using the Service and disconnect your accounts at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) survive it.

We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page, and where required we will provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Konnecs regarding the Service.
